Work Guidelines for the Board of Commissioners and Directors
In accordance with the Articles of Association, the Board of Commissioners is responsible for overseeing the management of the Company by the Board of Directors and for providing advice to the Board of Directors. The members of the Board of Commissioners are appointed and removed by the GMS, and serve terms of 5 (five) years. A Commissioner may be reappointed to the Board of Commissioners upon the expiry of their term of office.
Composition of Commissioners
The composition of the members of the Board of Commissioners has been reaffirmed based on the Deed of Minutes No. 98 Annual GMS dated February 24, 2021 of Christina Dwi Utami, Notary in Jakarta, as follows:
Board of Commissioners members are selected on the basis of integrity, experience and have fulfilled the requirements and fit and proper as well as POJK Number 20/POJK.04/2016 dated April 18, 2016, Circular Letter issued by The Financial Service Authority (SEOJK) Number 57/SEOJK.04/2017 dated 27 December 2017, and POJK Number 57/2017 dated 14 September 2017.
Duties and Responsibilities of the BOC
Implementation of the duties of the Board of Commissioners is carried out by, among others:
- Conduct regular meetings of the Board of Commissioners;
- Responsible for supervising the implementation of the business plan, as well as the implementation of GCG Implementation;
- Receiving and reviewing reports made by the Board of Directors, both those that are regular and those requested by the Board of Commissioners.
In carrying out its duties, the Board of Commissioners has a Code of Conduct for Members of the Board of Commissioners ("Board of Commissioners Work Guidelines") that refers to applicable laws and regulations and the provisions of the Company's Articles of Association. The Board of Commissioners Work Guidelines are consistently implemented in a structured, systematic, easy-to-understand, and consistently enforceable manner, serving as a reference for the Board of Directors in carrying out their respective duties to achieve the Company's vision and mission.
The Board of Commissioners Work Guidelines are regularly refined in accordance with the needs and provisions of applicable laws and regulations. The Board of Commissioners Work Guidelines were ratified by the Board of Directors and the Board of Commissioners through Memo No. 019/IM/BCAS/VII/2019 dated July 1, 2019, which generally regulates several matters, including:
- Organization of Members of the Board of Commissioners;
- Duties, Responsibilities, Authorities, Continuing Education Programs, and Reporting and Accountability;
- Meeting Procedures; and
- Ethical Standards.
Reporting and Accountability
The Board of Commissioners must be accountable for the implementation of their duties and responsibilities to the Shareholders through the GMS.
